Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Mission Labs website, member platform, coworking space, programs, and related services (collectively, the “Services”) provided by Mission Labs (“Mission Labs,” “we,” “us,” or “our”).

By creating an account, applying for membership, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 18 years old and able to enter into a binding contract to use the Services. Membership in Mission Labs is by application and acceptance, and Mission Labs reserves the right to accept, decline, suspend, or terminate any application or membership at its sole discretion.

Members are expected to act in accordance with our community values, including treating fellow members and staff with respect, integrity, and Christian charity. Mission Labs may revoke membership for conduct that is incompatible with our community standards.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or suspected breach. You agree to provide accurate, current, and complete information when registering and to keep your account information updated.

Some features of the Services require a paid membership. By purchasing a membership, you agree to pay all applicable fees as described at the time of purchase. Unless otherwise stated:

• Memberships renew automatically until cancelled;
• Fees are non-refundable, except as required by law or as expressly stated in writing by Mission Labs;
• We may change membership pricing or benefits with reasonable advance notice, effective at the start of your next billing cycle;
• You are responsible for any taxes associated with your membership.

You may cancel your membership at any time through your account settings or by contacting us. Cancellations take effect at the end of the then-current billing period.

Sponsorship contributions help us extend membership opportunities to others. Sponsorship payments are made on the terms presented at checkout and are generally non-refundable. Sponsorship does not create any ownership, governance, or control rights over Mission Labs.

You agree not to:

• Violate any applicable law, regulation, or third-party right;
• Harass, threaten, defame, or otherwise harm any member, staff member, or visitor;
• Post or share content that is unlawful, obscene, hateful, misleading, or that infringes on intellectual property or privacy rights;
• Solicit or market to other members in a manner that is not permitted by Mission Labs;
• Attempt to access, probe, or scan the Services in any way that disrupts their operation, including using bots, scrapers, or similar automated tools without our written permission;
• Reverse engineer, decompile, or otherwise attempt to extract source code from the Services, except as expressly permitted by law;
• Share your account, credentials, or member access with non-members.

You retain ownership of the content you post through the Services (“Member Content”). By submitting Member Content, you grant Mission Labs a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute the Member Content as necessary to operate, promote, and improve the Services and the Mission Labs community.

You represent and warrant that you have all necessary rights to submit your Member Content and that it does not violate these Terms or any applicable law. We may remove Member Content that we believe violates these Terms, our community standards, or applicable law.

The Services, including all software, branding, designs, text, graphics, and other materials (excluding Member Content), are owned by Mission Labs or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes, subject to these Terms.

Use of any physical Mission Labs coworking space or attendance at our events is also subject to any posted house rules, safety policies, and event-specific terms. You are responsible for your personal property while on the premises and at events. Mission Labs is not liable for lost, stolen, or damaged property except as required by law.

The Services may contain links to or integrations with third-party websites and services. We are not responsible for the content, policies, or practices of those third parties. Your use of any third-party service is governed by that third party’s terms.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MISSION LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MISSION LABS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO MISSION LABS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

You agree to defend, indemnify, and hold harmless Mission Labs and its officers, directors, employees, contractors, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your Member Content, or your violation of these Terms.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason in our sole discretion. You may stop using the Services and cancel your membership at any time. Provisions of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

These Terms are governed by the laws of the United States and the state in which Mission Labs is headquartered, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction and venue there.

We may update these Terms from time to time. We will post any changes on this page and update the “Last updated” date above. Material changes will be communicated through the Services or by email. Your continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms.
